Terms & Conditions

These Terms & Conditions (“Terms”) govern the relationship between Semtitans Digital PVT LTD (“Semtitans”, “Agency”, “we”, or “us”) and any individual or entity (“Client”, “you”) engaging our digital marketing, advertising, search engine optimization (SEO), and web development services.

1. Acceptance of Terms

By executing a Statement of Work (SOW), subscribing to a growth retainer, or accessing our services and website, you agree to be legally bound by these Terms and our Privacy Policy. If you are entering into this agreement on behalf of a company, you represent that you have the authority to bind that entity.

2. Scope of Services

Semtitans provides specialized growth marketing services, including but not limited to:

  • Paid Media Management: Strategy, creative optimization, campaign deployment, bid management, and conversion tracking across Google Ads, Meta Ads, Microsoft Ads, and TikTok.
  • Search Engine Optimization (SEO & GEO): Technical audits, on-page optimization, backlink acquisition, content strategy, and Generative Engine Optimization.
  • Web Development & CRO: Conversion rate optimization, landing page design, website development, and speed enhancements.

Detailed deliverables, milestones, and scope specifications are defined in the mutually executed Statement of Work or Service Proposal.

3. Client Obligations & Approvals

To ensure optimal campaign performance and delivery timelines, the Client agrees to:

  • Provide timely access to relevant ad accounts, analytics platforms, website CMS, and brand assets.
  • Review and provide timely feedback or approvals on ad copy, creative materials, and strategic roadmaps.
  • Maintain adequate funds in primary billing accounts tied to advertising platforms (Google, Meta, Microsoft).

4. Media Budgets & Ad Spend

All direct ad spend (payable to platforms such as Google, Meta, or Microsoft) is the sole responsibility of the Client and is billed directly to the Client’s payment method on each respective platform. Semtitans management fees are separate from and do not include media ad spend.

5. Intellectual Property & Work Product

  • Client Materials: The Client retains all intellectual property rights to its logos, trademarks, proprietary copy, and pre-existing assets.
  • Work Product: Upon full payment of all applicable fees, all custom ad copy, creatives, landing pages, and campaign structures produced specifically for the Client become the Client’s property.
  • Agency Methodologies: Semtitans retains ownership of proprietary internal frameworks, proprietary scripts, and agency automation workflows.

6. Confidentiality

Both parties agree to treat all business data, performance metrics, conversion statistics, financial details, and strategic methodologies as strictly confidential. Neither party shall disclose proprietary information to third parties without prior written consent.

7. Platform Algorithm & Ranking Disclaimers

Digital marketing involves dynamic third-party algorithmic platforms (e.g., Google, Meta, Bing, AI search engines). While Semtitans applies proven, data-backed industry best practices, we cannot guarantee specific organic search ranking positions or platform-wide auction cost-per-click fluctuations outside our reasonable control.

8. Term, Termination & Cancellation

  • Retainer Agreements: Monthly retainers operate on the term specified in your SOW (typically 30-day rolling terms after the initial commitment period).
  • Notice Period: Either party may terminate a retainer agreement with 30 days’ written notice prior to the next billing cycle.
  • Outstanding Balances: In the event of termination, the Client remains responsible for all fees accrued up to the effective termination date.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Semtitans Digital PVT LTD be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits or revenue arising out of the performance of marketing services.
